Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Pulse organizational alignment platform provided by Pulse Connect, Inc. ("Pulse," "we," "us," or "our") at pulseconnect.us and app.pulseconnect.us (the "Service"). By creating an account or using the Service, you agree to these Terms.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. The Service
Pulse provides an organizational alignment intelligence platform that helps leaders measure and close the gap between strategic intent and team understanding. The Service includes alignment data collection, reporting, workflow tooling, and related features as described at pulseconnect.us.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not make changes that materially reduce core functionality during a paid subscription term without offering a pro-rated refund or credit.
2. Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
One account may administer one organization. Multi-organization access requires a separate agreement.
3. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Collect or process data about individuals without appropriate legal authority
- Harass, threaten, or retaliate against any person
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Reverse-engineer, decompile, or otherwise attempt to extract source code
- Transmit malware, viruses, or other harmful code
- Use the Service to build a competing product without our written consent
- Misrepresent your identity or organizational affiliation
We reserve the right to suspend or terminate accounts that violate these restrictions without refund.
4. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
You retain ownership of the data your organization submits to the Service ("Customer Data"). By submitting Customer Data, you grant Pulse a limited license to store, process, and display it solely to provide the Service to you.
You represent that you have the legal right to submit Customer Data and that doing so does not violate any applicable law, including FERPA, HIPAA, GDPR, or any other data protection regulation applicable to your organization.
We will handle Customer Data in accordance with our Privacy Policy. We will not sell, share, or use Customer Data for any purpose other than delivering the Service and meeting our legal obligations.
5. Subscriptions and Payment
Paid subscriptions are billed in advance on the cycle stated at the time of purchase (monthly or annual). All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
If payment fails, we will notify you and allow a 7-day cure period before suspending access. Annual subscriptions that are cancelled with more than 30 days remaining on the term are eligible for a pro-rated credit toward a future subscription; cash refunds are not provided except where required by law.
We may adjust pricing for renewals with 60 days' notice. If you do not agree to a price increase, you may cancel before the renewal date.
6. Intellectual Property
Pulse owns all intellectual property rights in the Service, including the platform software, design, documentation, and the Pulse brand. Nothing in these Terms transfers any ownership of Pulse's intellectual property to you.
You may not use Pulse's name, logo, or trademarks without our prior written consent.
7. Confidentiality
Each party agrees to keep the other's confidential information confidential and to use it only for the purpose of performing obligations under these Terms. "Confidential information" means any non-public information designated as confidential or that a reasonable person would understand to be confidential given the context, including pricing, roadmaps, and Customer Data.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available." We make no warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
Pulse is an alignment intelligence tool. It surfaces patterns and signals to support informed decision-making. It is not a substitute for professional judgment, legal advice, or compliance review.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Pulse's total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
Neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.
Some jurisdictions do not allow limitations on implied warranties or liability for certain types of damages, so some of the above limitations may not apply to you.
10. Termination
You may cancel your subscription at any time from your account settings or by contacting [email protected]. Cancellation takes effect at the end of the current billing period.
We may terminate or suspend your account immediately if you materially breach these Terms and fail to cure the breach within 10 days of notice, or immediately if the breach involves illegal activity or poses a security risk.
Upon termination, you may request an export of your Customer Data within 30 days. After that period, we will delete Customer Data in accordance with our Privacy Policy.
11. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any dispute that cannot be resolved through good-faith negotiation shall be resolved by binding arbitration in Suffolk County, Massachusetts, under the rules of the American Arbitration Association.
You waive any right to participate in a class action or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify account administrators by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
13. Miscellaneous
These Terms, together with our Privacy Policy and any order forms or agreements signed by both parties, constitute the entire agreement between you and Pulse regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so in the future.
